GridBrief Terms of Service

1. Who we are

These Terms are between you and David Crandall d/b/a GridBrief by East Bay Services (the legal seller; "GridBrief", "we"), 6421 N. Florida Ave, Suite D-1856, Tampa, FL 33604, hello@eastbayservices.com.

2. Business buyers only

You represent that you are buying on behalf of a business or in your professional capacity, for business use, and not for personal, family or household purposes.

3. Informational only; no professional advice

GridBrief briefs are general market research and information only. They are not legal, engineering, investment, financial, tax or accounting advice, and no professional-client, fiduciary or advisory relationship is created. GridBrief is not a registered investment adviser, law firm, licensed professional engineer or CPA. Consult your own qualified professionals before acting.

4. No warranty; no reliance

Briefs are provided "AS IS" and "AS AVAILABLE." Briefs are prepared with SI-assisted research and human review and cite their sources, but we do not warrant that any brief is accurate, complete, current or fit for a particular purpose, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. You agree you are not relying on any brief as the sole basis for any decision.

5. License and use limits

5.1 Grant. GridBrief briefs, data tables, alerts and related materials (the "Materials") are licensed, not sold. Subject to payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Materials for your internal business purposes only, during the paid term (or, for a Single brief, the 31-day access period) and within your plan.

5.2 Who may use them. Single, Monthly and Weekly: 3 seats included, plus $49 per extra seat. Daily: 5 seats included, plus $49 per extra seat. On Single, Monthly and Weekly plans, only the Authorized Users named on your order may use the briefs, up to the seats purchased. On the Daily plan, your employees and those of the affiliates named on the order may use them, for internal purposes only. "Affiliate" means an entity that controls, is controlled by, or is under common control with you (more than 50% of voting interests). Sharing a login is a breach.

5.3 You may not, and may not let anyone else: (a) share, forward or give access to the Materials or your login to anyone who is not an Authorized User; (b) resell, sublicense, rent, lend or otherwise commercially exploit them; (c) post them, or any substantial part, on any website, social network, forum or shared drive outside your licensed scope; (d) upload, paste or feed them into any public or third-party SI or machine-learning tool, model, training set or dataset, or use them to build a competing product or dataset (private internal tools you control that do not train on the data need our written consent); (e) redistribute them in any other way outside the licensed scope.

5.4 You may discuss the Materials internally and quote brief excerpts (a single figure or a sentence or two) with the credit "Source: GridBrief, East Bay Services, [date]". Excerpts may not substitute for the Materials.

5.5 Buyer-specific marks. Each copy carries visible and/or invisible marks that identify your account. Do not remove, obscure or defeat them. A marked copy found outside your licensed scope is presumed to come from your account; you may rebut this with reasonable evidence (for example, a security breach you promptly reported). The marks help trace copies; they do not prevent copying.

5.6 Breach. We will notify you by email of a suspected breach of 5.3 or 5.5. We may suspend or end access for the account involved; no refund is owed for that account. Where practical, we will give you 5 business days to cure a curable breach. We may also seek injunctive relief. On reasonable written notice (no more than once every 12 months unless we believe in good faith a breach occurred), you will confirm in writing who has had access and help us recover copies distributed outside scope.

5.7 Third-party sources. The Materials cite and summarize public and third-party sources (for example ERCOT, EIA and FERC). Those sources stay subject to their own terms; we grant no rights in third-party data.

6. Ownership

GridBrief and its licensors own all rights in the briefs, their selection, arrangement, analysis, text and charts, and the GridBrief name. No rights are granted except the license above. Underlying public facts and third-party data remain subject to their owners' rights and terms; we claim no ownership of public facts. We may use feedback you give without obligation.

7. Plans, prices and payment

Prices as of Oct 24, 2026, in US dollars:

Taxes: Prices exclude applicable sales and other taxes, which we will add and collect where required.

Payments are processed by Stripe; we do not store full card numbers. Stripe may show a converted amount in your local currency; the amount charged is set by Stripe at checkout.

8. Single briefs: delivery, access and refunds

8.1 Delivery. Single orders paid by 2 PM ET are typically delivered the same business day; orders paid after 2 PM ET count as the next business day. Business days are Monday–Friday, excluding US federal holidays, Eastern Time. If a Single brief is not delivered within 2 business days of payment, you get a full refund on request to hello@eastbayservices.com.

8.2 Access and refunds. A Single brief gives you 31 days of access, starting when the brief email is sent. Single briefs are not refundable once delivered, unless the brief was never delivered or is materially defective and you report it to hello@eastbayservices.com within 14 days of delivery.

9. Subscriptions (Monthly, Weekly, Daily, extra seats): auto-renewal and cancellation

Subscriptions renew automatically each month at the then-listed price, charged to your payment method until you cancel. You can cancel anytime by emailing hello@eastbayservices.com. Cancellation stops future charges; your access ends at the end of the paid period. There are no partial refunds for the current period.

10. Indemnity

You will defend, indemnify and hold harmless GridBrief and its owner from third-party claims arising from (a) your breach of these Terms, including the license limits, (b) your use of or decisions based on briefs, or (c) your violation of law or third-party rights.

11. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including outages of data sources, ISOs/RTOs, utilities, hosting, payment processors or the internet, natural disasters, hurricanes, government action or labor disputes.

12. Disputes, governing law and limits

12.1 Governing law. These Terms, and any dispute arising out of or relating to them or to GridBrief, are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

12.2 Informal notice first. Before either party files any claim, it must send written notice describing the dispute and the relief sought. Notice to us goes to hello@eastbayservices.com. Notice to you goes to the email on your account. The parties will try in good faith to resolve the dispute for 30 days after notice is received. Neither party may file during that period, except to seek urgent injunctive relief to protect intellectual property or confidential information, or to preserve a claim from expiring.

12.3 Exclusive venue. Any dispute not resolved informally must be brought only in the state courts located in Hillsborough County, Florida, or the United States District Court for the Middle District of Florida (Tampa Division). Each party consents to the personal jurisdiction of those courts and waives any objection to venue there.

12.4 Small-claims carve-out. Either party may instead bring an individual claim in small claims court in Hillsborough County, Florida, if the claim qualifies there. The 30-day notice in 12.2 still applies.

12.5 JURY-TRIAL WAIVER. TO THE EXTENT PERMITTED BY FLORIDA LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR GRIDBRIEF.

12.6 CLASS-ACTION WAIVER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. THE COURT MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PARTY.

12.7 Limitation of liability. To the extent permitted by law, each party's total liability arising out of or relating to these Terms or GridBrief is limited to the fees you paid us for GridBrief in the 12 months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data. These limits do not apply to your obligation to pay fees owed, to either party's liability for fraud or willful misconduct, or to any liability that cannot be limited by law.

12.8 Severability. If any part of this section is found unenforceable, the rest remains in effect. If the class-action waiver is found unenforceable as to a claim, that claim proceeds only in the courts named in 12.3.

13. Changes and termination

We may change these Terms by emailing you 30 days before the change takes effect; continued use after that means you accept the change. We may end access for breach. These Terms are the entire agreement; you may not assign them. Notices to you go to the email on your account.
